Terms & Conditions for Webstarz LLC

1. Acceptance of Terms

By accessing, using, or purchasing services from Webstarz (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all applicable laws. If you do not agree, you must not use our services.

  • Minor updates or changes, as agreed

  • Communication via email or other channels

Delivery timelines are estimates only and not guaranteed. We reserve the right to modify, update, or discontinue services at any time.

4. Client Responsibilities

You agree that:

  • You are responsible for providing accurate, lawful content (text, images, logos, business information)

  • You have the rights to all content you provide

  • Delays caused by missing content, approvals, or communication do not constitute failure on our part

  • You are responsible for reviewing your website and requesting changes

5. Payments, Billing, and Cancellation

  • Fees: Fees are billed as agreed at the time of purchase or subscription.

  • Non-Refundable: Payments are non-refundable once services begin, unless otherwise stated in writing.

  • Recurring Billing: If applicable, you authorize recurring charges to your payment method.

  • Failed Payments: We may suspend or terminate services if payment fails or is disputed.

  • Cancellation: You may cancel by contacting webstarzco@gmail.com before your next billing cycle. Upon cancellation, your website may be taken offline.

6. Intellectual Property & Domain Names

Your Content

You retain full ownership of all content you provide to Webstarz, including text, images, logos, and business information. You grant Webstarz a limited, non-exclusive license to use this content solely for the purpose of providing our services.

Our Property

Webstarz retains ownership of all website templates, layouts, code, systems, tools, and infrastructure used to create or operate your website. This includes proprietary designs, frameworks, and backend systems.

License to Use

You are granted a limited, non-exclusive, non-transferable license to use your website while your account is active and in good standing. This license terminates upon cancellation or non-payment.

You may not copy, reproduce, resell, sublicense, or transfer our designs, systems, or infrastructure.

Domain Names

If Webstarz purchases or registers a domain name on your behalf, you are the sole and legal owner of the domain name. Webstarz purchases the domain only as a convenience and acts solely as a technical administrator for registration, DNS management, renewals, and related services.

You agree to pay the annual domain registration and renewal cost at the publicly available market rate at the time of purchase or renewal. Domain pricing may vary year to year based on registrar and market pricing.

The domain may be maintained in Webstarz’s registrar account for management purposes. At any time, provided your account is in good standing and all outstanding balances are paid, you may request that the domain be transferred to you or to a registrar of your choosing, and Webstarz will complete the transfer within a reasonable timeframe.

If services are canceled, the domain remains your property and will be transferred upon request once all balances are settled.

7. Intellectual Property

Your Content:
You retain ownership of all content you provide. You grant Webstarz a limited license to use that content solely to provide services.

Our Property:
Webstarz retains ownership of all website templates, layouts, code, systems, and infrastructure.

License:
You are granted a limited, non-exclusive, non-transferable license to use your website while your account is active and in good standing. This license terminates upon cancellation or non-payment.

You may not copy, reproduce, resell, or transfer our designs or systems.

8. Prohibited Use

You agree not to use our services to:

  • Violate laws or regulations

  • Publish fraudulent, misleading, or unlawful content

  • Infringe on intellectual property rights

  • Distribute malware or harmful code

  • Attempt to reverse engineer or misuse our systems

We may suspend or terminate services for violations.

9. Third-Party Services

Our services may rely on third-party providers (hosting, payments, analytics). We are not responsible for outages, changes, or issues caused by third parties. Your use of those services is subject to their terms.

10. Disclaimers

Services are provided “as is” and “as available.” We make no guarantees regarding:

  • Business results

  • Traffic, leads, or sales

  • Search engine rankings

  • Uninterrupted or error-free service

11. Limitation of Liability

To the maximum extent permitted by law:

  • Webstarz is not liable for indirect, incidental, or consequential damages

  • Our total liability shall not exceed the amount paid by you in the 60 days preceding the claim

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Webstarz from any claims, damages, or expenses arising from:

  • Your content

  • Your use of our services

  • Your violation of these Terms or applicable law

13. Termination

We may suspend or terminate services at any time for:

  • Violation of these Terms

  • Non-payment

  • Fraudulent or abusive behavior

Upon termination, your website may be taken offline and access revoked.

14. Dispute Resolution

Before filing any legal claim, you agree to contact us at webstarzco@gmail.com to attempt informal resolution. Any disputes not resolved informally shall be governed by applicable state and federal law.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

16. Changes to These Terms

We may update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
